Terms of Service

These Terms of Service ("Terms") govern your access to and use of ReclaimTime ("the Service"), operated by Seventh Compass, Inc. ("we," "our," or "us"). By accessing or using ReclaimTime, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By creating an account, joining our waitlist, or using ReclaimTime in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

ReclaimTime is an SMS-based billable time and expense tracking service that allows users to:

• Log billable time entries via SMS text messages
• Store and organize time entries and billing data
• Edit and manage entries through a web interface
• Export data in CSV format for use with billing systems

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration and Eligibility

To use ReclaimTime, you must:

• Be at least 18 years old
• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. SMS and Text Messaging

ReclaimTime operates via SMS text messaging. By using the Service, you:

• Consent to receive SMS messages from us at the phone number you provide
• Acknowledge that standard message and data rates may apply, as determined by your mobile carrier
• Understand that you can opt out by replying STOP to any message
• Agree to use the Service in compliance with CTIA guidelines and applicable telecommunications regulations

We are not responsible for charges imposed by your mobile carrier. Message frequency varies based on your usage.

5. User Content and Data

You retain ownership of all data and content you submit to ReclaimTime ("User Content"). By submitting User Content, you grant us:

• A worldwide, non-exclusive, royalty-free license to use, store, and process your User Content solely to provide and improve the Service
• The right to aggregate and anonymize your data for analytics and service improvement purposes

You are solely responsible for:

• The accuracy and legality of all User Content you submit
• Ensuring you have the right to submit User Content and that it does not violate any third-party rights
• Backing up your data, as we are not responsible for data loss

We reserve the right to remove or refuse to process any User Content that violates these Terms or applicable laws.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws or regulations
• Transmit any content that is harmful, abusive, harassing, defamatory, or otherwise objectionable
• Attempt to gain unauthorized access to the Service or any related systems or networks
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated systems (bots, scrapers, etc.) to access the Service without our prior written consent
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or otherwise commercialize the Service without our permission
• Use the Service to send spam, unsolicited messages, or any form of automated messaging

Violation of these restrictions may result in immediate termination of your account and legal action.

7. Subscription and Payment

ReclaimTime offers paid subscription plans. By subscribing, you agree to:

• Pay all fees associated with your selected plan
• Provide accurate payment information
• Authorize us to charge your payment method for recurring subscription fees

Billing: Subscription fees are billed in advance on a monthly or annual basis, as selected. Fees are non-refundable except as required by law or as explicitly stated in our refund policy.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will continue to have access to the Service until the end of the period for which you have paid.

Price Changes: We reserve the right to modify subscription prices. We will provide at least 30 days' notice of any price increases. Your continued use of the Service after the price change constitutes acceptance of the new pricing.

Refunds: Refunds are provided at our sole discretion, except where required by law. If you believe you are entitled to a refund, please contact us at info@reclaimtime.io.

8. Intellectual Property

The Service, including its original content, features, functionality, design, and software, is owned by Seventh Compass, Inc. and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code, unless laws prohibit such restrictions or you have our written permission.

9. Disclaimers and Limitations of Liability

Service Provided "As Is": The Service is provided on an "as is" and "as available" basis. We make no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

Limitation of Liability: To the maximum extent permitted by law, Seventh Compass, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

Maximum Liability: Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless Seventh Compass, Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of subscription fees
• Extended periods of inactivity

Upon termination, your right to use the Service will cease immediately. We may delete your account and data, though we will make reasonable efforts to provide you with a data export if requested within 30 days of termination.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law. You waive any right to a jury trial or to participate in a class-action lawsuit.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

15. Severability and Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Seventh Compass, Inc. regarding the Service and supersede all prior agreements and understandings.
